@Wash,

I think you zeroed in on the issue.  What KENIC needs is a mechanism to limit the tenure of the board members to maximum two terms. It is standard practice in corporates and has even been embraced in our political life. Why not in KENIC?

@ Brian,
you hinted on calling an Extra-ordinary General Meeting (EGM).  But my question has not been answered - when is the next AGM due?  It could be next week and so no need for the EGM. Further, where is the KENIC constitution.  Perhaps we need to review it before suggesting things that maybe good but "illegal" as far as the KENIC constituion is concerned.

Wait a minute. From the minutes of the last Board Meeting, Alice was amongst those "absent with apologies", so obviously she was NOT the chair of this meeting, right?
I have a feeling something is quite a miss with the minutes as posted and would like to take the earliest opportunity to apologise to Alice for this misrepresentation I have made.



Another glaring thing I have noted from the minutes is the Board Membership as constituted. CCK has such a significant number of membership in the KENIC Board. Now, seeing as things are going, I'd like to imagine that KENIC operates in the same space as the ISPs - or almost. With the recently introduced Kenya Communications Bill 2009, I suppose KENIC is supposed to be licensed just like the ISPs, and by this, it calls for all those in the KENIC board who are associated with CCK to step aside, right? Their continued presence in the KENIC Board seems like an illegality.



Last but not least, what does the KENIC constitution say as regards the tenure of the Board Members? Can they sit there forever or is there a time limit?

Then Alice should step aside and let the Tech community decide on someone else who can steer KENIC to achieve the defined metrics.

I do believe that whenever a CEO is appointed to the organization, they always have clear and realistic KRAs and KPIs to help gauge whether or not they are performing.

I think if Sammy Buruchara cannot handle KENIC matters properly as is evident, then a reconstitution of the board should be in the offing, with a view to replacing him. There should also be an ammendment to the constitution that governs KENIC to limit the terms of the Board Members.







Wwith whom does the buck stop at KENIC? Chairman? Then he should be replaced.
